Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Fixed Seed LLC ("Fixed Seed," "we," "us," "our") and govern your access to and use of www.fixedseed.com, outpaint.app, and any other apps, sites, APIs, and tools we offer (collectively, the "Services").

By creating an account or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

1. Eligibility and accounts

You must be at least 18 years old (or the age of majority where you live) to use the Services. By using the Services you represent that you meet this requirement and that you have the authority to enter into these Terms.

Authentication is handled by our identity provider, Auth0. You are responsible for activity that occurs under your account and for keeping your sign-in method secure. Notify us at support@fixedseed.com if you suspect unauthorized access.

2. The Services

Fixed Seed provides AI image-generation and editing tools. The Services let you upload images, submit jobs to AI inference models, and view, download, and delete the results in a private gallery associated with your account.

We may add, change, or remove features. We will give reasonable notice of material removals where practical.

3. Credits, billing, and refunds

Credits. The Services use a credit-based, one-time-purchase model. Credits are not a subscription. Credits do not expire. Credits are usable across all Fixed Seed apps in the ecosystem, including outpaint.app.

Pricing. Credit pack pricing is shown before purchase. Prices are in U.S. Dollars (USD) and exclude any applicable taxes, which will be added at checkout where required.

Payment. Payments are processed by Stripe. By purchasing credits you also agree to Stripe's terms. We do not store your full card number; Stripe is the merchant of record for card data.

No refunds. Credit purchases are final and non-refundable except where required by law or where we choose to grant a refund at our sole discretion (for example, a clearly failed render that consumed credits despite no usable output). Credits are not redeemable for cash and are not transferable between accounts.

Failed jobs. If a job fails because of an error on our side, we will refund the credits consumed by that job. Failures caused by inputs you provided (for example, content that violates Section 5) are not refundable.

Chargebacks. If you believe a charge is incorrect, contact us at billing@fixedseed.com before disputing the charge with your bank. Initiating a chargeback for credits already used may result in account termination.

4. Your content and your rights to outputs

Your inputs. You retain all rights in the images and prompts you submit. You represent that you have the rights necessary to submit them and that doing so does not violate the rights of any third party or any law.

Your outputs. As between you and Fixed Seed, you own the output images generated for you, to the fullest extent permitted by applicable law. AI-generated outputs may have limited or no copyright protection in some jurisdictions; we make no representation about the legal status of any specific output.

Limited license you grant us. To run the Services, you grant Fixed Seed a worldwide, non-exclusive, royalty-free license to host, store, transmit, and display your inputs and outputs solely for the purpose of:

1. Performing the AI inference job you requested;
2. Storing your outputs in your private gallery and serving them back to you on request; and
3. Investigating abuse, fraud, and Acceptable Use Policy violations.

This license terminates with respect to any specific image when you delete that image from your gallery. The license terminates entirely when you delete your account, subject to the deletion timeline described in our Privacy Policy.

No training. Fixed Seed does not use your inputs, outputs, or prompts to train AI models, and does not permit our vendors to do so.

No human review by default. Your content is processed automatically. We may inspect content only when responding to a specific support request you make, when investigating a credible abuse report, or when required by law.

5. Acceptable Use

You agree not to use the Services to create, submit, store, or transmit content that:

• Infringes the intellectual property, publicity, or privacy rights of any person;
• Depicts a real, identifiable person in a sexual, defamatory, or harassing manner, or attempts to deepfake any person without their clear, demonstrable consent;
• Sexually depicts minors or anyone who appears to be a minor;
• Generates content for the purpose of fraud, scams, phishing, impersonation, harassment, or threats;
• Generates content used to incite violence, terrorism, self-harm, or hatred against a protected class;
• Generates content related to weapons of mass destruction, dangerous goods, or other content prohibited by applicable law;
• Attempts to bypass safety filters, rate limits, or credit accounting;
• Reverse-engineers the Services, scrapes data from accounts other than your own, or interferes with our infrastructure.

We may remove content, suspend, or terminate accounts that violate this Acceptable Use Policy, with or without notice depending on severity, and we may report illegal content to law enforcement as required by law (including mandatory CSAM reporting).

6. DMCA / copyright complaints

If you believe content on the Services infringes your copyright, send a notice to dmca@fixedseed.com containing:

1. Your physical or electronic signature;
2. Identification of the copyrighted work;
3. The URL or other location of the allegedly infringing content;
4. Your contact information;
5. A statement of good-faith belief that the use is unauthorized; and
6. A statement, under penalty of perjury, that the information is accurate and that you are authorized to act on behalf of the rights holder.

We will respond as required by the Digital Millennium Copyright Act, including by removing infringing content and terminating repeat infringers' accounts.

7. Service availability and changes

The Services are provided on an "as available" basis. We do not guarantee uninterrupted operation. AI inference depends on third-party providers (currently Modal) whose availability we cannot control. We will make reasonable efforts to keep the Services running and to recover from outages.

8. Disclaimers

THE SERVICES AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

AI OUTPUTS ARE GENERATED ALGORITHMICALLY AND MAY CONTAIN ARTIFACTS, INACCURACIES, OR UNINTENDED CONTENT. YOU ARE RESPONSIBLE FOR REVIEWING OUTPUTS BEFORE PUBLISHING OR ACTING ON THEM. WE DO NOT GUARANTEE THAT ANY OUTPUT IS ORIGINAL, COPYRIGHTABLE, FIT FOR YOUR PURPOSE, OR FREE OF THIRD-PARTY RIGHTS.

Some jurisdictions do not allow exclusion of certain warranties; in those jurisdictions some of these disclaimers may not apply to you.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIXED SEED, ITS OFFICERS, EMPLOYEES, AND VENDORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES, IN AGGREGATE, WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FIXED SEED IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM AND (B) ONE HUNDRED U.S. DOLLARS ($100).

10. Indemnification

You will defend, indemnify, and hold harmless Fixed Seed from and against any third-party claim arising out of (a) content you submit to or generate through the Services, (b) your violation of these Terms or the Acceptable Use Policy, or (c) your violation of any applicable law or third-party right.

11. Termination

You may stop using the Services and delete your account at any time by emailing support@fixedseed.com or using in-app deletion controls.

We may suspend or terminate your access if you violate these Terms, the Acceptable Use Policy, or applicable law, or if we are required to do so by law. Sections that by their nature should survive termination — including 4 (Limited license you grant us, only as to content not yet deleted), 5, 8, 9, 10, 12, and 13 — will survive.

12. Governing law and disputes

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules.

You and Fixed Seed agree that any dispute will be resolved exclusively in the state or federal courts located in Los Angeles County, California, and you submit to the personal jurisdiction of those courts.

13. Miscellaneous

• Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Fixed Seed regarding the Services.
• Severability. If any part of these Terms is unenforceable, the rest remain in effect.
• No waiver. Our failure to enforce any provision is not a waiver.
• Assignment. You may not assign these Terms; we may, in connection with a merger, acquisition, or sale of assets.
• Changes. We may update these Terms; we will post the new version with a new "Last updated" date and, for material changes, notify you at least 3 days before they take effect. Continued use after the effective date constitutes acceptance.
